United Professional & Service Employees Union Local 1222 (the “Union”) represents or formerly represented you as a current or former
employee of Professional Transportation, Inc. (“PTI”). The Union filed the Grievance against PTI because it believed PTI did not properly
apply 2017 wage rate increases (the “2017 Increases”) under the CBA to all Union employees at all levels and applicable locations.
To avoid risks and uncertainties related to the arbitration process, as well as the delay and ongoing expense of arbitration and possible
further litigation, the Union agreed to accept a sum certain from PTI now (the “Settlement Sum”) to settle the Grievance. The Settlement
Sum substantially restores the wage increase benefits that the Union contends were not paid between April 1, 2017 and September 30, 2020.
PTI denies any wrongdoing, but likewise understands that there is inherent risk, uncertainty, and expense involved with continued litigation.
For these reasons, the parties have reached a compromise settlement.
If you agree to participate and are entitled to receive a portion of the Settlement Sum, you, your current and former spouses, heirs,
executors, administrators, agents, and attorneys agree to forever release PTI, its present and former parent companies, officers,
subsidiaries, related or affiliated companies, shareholders, directors, members, managers, employees, fiduciaries, trustees, employee
benefit plan administrators, agents, attorneys, insurers, successors and assigns, any and all persons or entitles acting by, through or
under contract from any claim, debts, losses, demands, obligations, liabilities, penalties, causes of action, charges, grievances or
complaints of any type or nature relating to PTI’s nonpayment of the 2017 Increases under the CBA prior to September 30, 2020, under
any state, federal or local law, ordinance, or regulation.
This settlement is contingent on confidentiality. If you are asked about the 2017 Increases, you may not divulge the amount of your
share of the Settlement Sum. Notwithstanding this provision, you may share the amount of your share of the Settlement Sum with your
immediate family, accountant, tax preparer, and personal attorney.
This settlement will not extinguish or settle any ongoing claim you may have for other grievances you or the Union may have pending
against PTI that are unrelated to the payment of the 2017 Increases.
Your Individual Settlement Award payment amount is stated in the Notice and will be treated as W-2 wages, and all federal and state taxes
and other applicable withholdings will be withheld. An IRS Form W-2 will be issued to reflect this payment and any withholdings.
The attorneys for the Union and for PTI do not make any representations concerning the tax consequences of your participation in this
settlement.
The amount allocated to each eligible participant was determined by the Settlement Administrator pursuant to an equitable formula based upon the work you performed for PTI between April 1, 2017 and September 30, 2020.
If you disagree with the amount of your allocation of the Settlement Sum based on your work for PTI between April 1, 2017 and September 30, 2020, you will need to submit to the Administrator your pay stubs during that period showing the calculation of your compensation and why you believe the calculation of your allocation of the Settlement Fund is incorrect. Communications with the Administrator disputing the amount WITHOUT DOCUMENTATION will not provide the Administrator a basis to recalculate your portion of the Settlement Sum.
